Commercial Companies

In Switzerland, the following two main forms of commercial companies are available:

The corporation (Aktiengesellschaft): A company with a predetermined share capital divided into bearer or registered shares. The shareholders´ liability is limited to the company´s share capital. The minimum nominal share capital required is CHF 100,000 of which at least CHF 50,000 must be paid in. In Switzerland, most businesses are organised as corporations.

The limited liability company (GmbH): A company with a limited capital divided into quotas. The quotaholders´ liability is limited to the company´s registered capital. The minimum capital required is CHF 20,000. This type of entity became increasingly popular in recent years.
